The Reason Megabyte cannot infect Phong is because Phong is a "Read only" file. This is repeated many time but rarely given much attention.
Actually, the mention of Phong being read-only memory was only made once during the series. In the episode 'Infected'. This is accepted as the reason, however, it is also accepted that leaders of systems are all set as read-only memory.

[edit] Secondary Viral Infection Method
Okay, so if I understand this, Megabyte's person infections work like this:
Willing Acceptance: A sprite or binome will give Megabyte his or her PID and become a "willing" servant of Megabyte. This changes their body color scheme and loyalties, though direct control over their body is rarely done. Their mind remains intact, but they are entirely loyal to Megabyte.
Unwilling Infection: Megabyte "v2" can use his tendrils to forcefully infect a binome or sprite. The person's color scheme remains the same, though slightly bleached out, their eyes become red-on-aquamarine, and they lose complete control of their minds and bodies, becoming little more than a remote-controlled puppet.

- According to the first ReBoot comic (which appears to pick up where ReBoot: My Two Bobs left off), this secondary infection method is exactly as I said. It turns Binomes into zombies, or "Zombinomes". And as has been the case three times before, things have gone to HELL in a HARD DRIVE not just in Mainframe but all OVER the net!
